Part B — Purchase Terms (Legally Binding Upon Execution)
Parties. This Purchase Agreement (“Agreement”) is between CRATE LEGACY SAMOYEDS, a dog breeder (“Breeder”), and the undersigned purchaser (“Buyer”).
Puppy Identifiers. Breed: Samoyed. Sex: ____ Color: ____ Whelped: ____ Microchip #: ____ Sire: ____ Dam: ____ Registration: ☐ AKC Limited ☐ AKC Full (only if Breeding Rights Addendum is executed).

Waitlist/Allocation. Breeder retains sole discretion to match puppies to Buyers based on temperament and suitability. If a suitable puppy is not available in the agreed litter, Buyer’s deposit rolls forward to the next comparable litter unless refunded at Breeder’s discretion.
1) Limited Registration; No Breeding Without Rights (Critical Term)
a. Pet-Only Default. All puppies are sold as pets/companions with AKC Limited Registration. Breeding is strictly prohibited unless Buyer separately purchases and executes Breeder’s Breeding Rights Addendum and receives AKC Full Registration in writing.
b. Unauthorized Breeding = Breach. Any mating, attempted mating, collection/use of semen, whelping, or registration of offspring without a fully executed Breeding Rights Addendum constitutes a material breach.
c. Liquidated Damages. Buyer agrees that damages from unauthorized breeding are difficult to quantify; therefore Buyer shall owe $10,000 USD per litter or attempted litter, plus $2,500 USD per puppy produced or attempted, whichever is greater, and all reasonable attorney fees and costs. These sums are liquidated damages, not a penalty, and do not limit Breeder’s right to injunctive relief or repossession under §10.
d. No Stud Service/Transfer. Buyer shall not lease the dog, provide stud service, or transfer custody for breeding purposes absent written consent and an executed Breeding Rights Addendum.
2) Spay/Neuter (for Pet/Companion)
Buyer agrees to spay/neuter the dog between 18 and 24 months of age (unless contraindicated by a licensed veterinarian in writing) and to provide proof to Breeder within 30 days of procedure. Until altered, Buyer will prevent any mating. Breeder may delay or modify timing in writing based on health/growth considerations.
3) Health Records & Veterinary Exam
a. Puppy is delivered with age-appropriate vaccinations, deworming, and health records.
b. Initial Exam Requirement. Buyer must have the puppy examined by a licensed veterinarian within 72 hours of possession (excluding Sundays/holidays). Failure voids health guarantee.
c. If the vet finds a life-threatening congenital condition during the initial exam, Buyer must notify Breeder in writing within 3 business days with the vet report. Remedies are as in §4.
4) Health Guarantee (Genetics)
Breeder guarantees the puppy to be free from serious hereditary conditions that substantially impair quality of life or require surgical correction, including but not limited to hip dysplasia (moderate/severe), congenital heart disease, and inherited eye disease causing blindness, for 24 months from date of birth. Remedies: at Breeder’s option, (i) replacement puppy from next comparable litter, or (ii) refund up to the purchase price upon return of the dog or certified proof of sterilization and non-breeding agreement. No incidental or consequential damages.
5) Care Standards
Buyer agrees to provide: (i) high-quality nutrition and fresh water, (ii) safe shelter and climate-appropriate care for a double-coated northern breed, (iii) regular exercise/mental stimulation, (iv) grooming appropriate for Samoyed coat, (v) routine veterinary care and vaccinations per vet advice, (vi) positive-based training and socialization.
6) Registration & Microchip
Puppy will be sold with ☐ AKC Limited ☐ (AKC Full only if Breeding Addendum is executed). Breeder may remain as a primary or secondary contact on the microchip for the dog’s lifetime for safety.
7) Return/Right of First Refusal (No Shelter/Resale)
If Buyer cannot keep the dog at any time, Buyer must notify Breeder first and either (a) return the dog to Breeder at no compensation, or (b) rehome only with Breeder’s written approval and a signed assignment of this Agreement. Dog shall never be surrendered to a shelter, rescue, pet store, auction, or third party without Breeder’s consent.
8) Transport & Risk of Loss
Risk of loss transfers on physical delivery to Buyer or Buyer’s agent/shipper. Any transport costs, permits, or insurance are Buyer’s responsibility unless otherwise agreed in writing.
9) Photos & Updates (Optional)
Buyer ☐ grants / ☐ does not grant Breeder permission to use non-identifying photos/videos of the dog for websites/social media/marketing. Buyer agrees to occasional updates during the first year.
10) Breach; Repossession; Injunctive Relief
If Buyer breaches §§1–2 (breeding/spay-neuter) or §7 (rehome/transfer), Breeder may reclaim the dog without refund and seek injunctive relief to prevent breeding or sale, in addition to liquidated damages and fees described herein.
11) Dispute Resolution; Venue; Governing Law
This Agreement is governed by the laws of the State of Utah. Venue and jurisdiction shall lie exclusively in the state courts of [County], Utah. The parties shall first attempt good-faith mediation in [County], Utah; if unresolved, disputes shall be determined by binding arbitration under the Utah Uniform Arbitration Act. The arbitrator may award prevailing-party attorney fees and costs.
12) Warranties & Limitation of Liability
Except as expressly stated, the dog is sold “as is” with no other warranties, express or implied (including merchantability or fitness for a particular purpose). Breeder’s total liability shall not exceed the purchase price paid.
13) Entire Agreement; No Reliance; Modifications
This Agreement (plus any Breeding Rights Addendum, if executed) constitutes the entire understanding. Buyer acknowledges not relying on oral statements. Any modification must be in a signed writing by both parties.
14) Severability; Assignment; Notices
If any provision is held unenforceable, the remainder remains in effect. Buyer may not assign this Agreement without Breeder’s consent. Notices must be in writing to the addresses below and deemed given upon delivery confirmation.

Breeding Rights Addendum (Only if Approved and Purchased)
This Addendum applies only if executed by both parties and the additional fee is paid. Without this Addendum, the dog remains Pet-Only / AKC Limited and all breeding is prohibited.
1. Upgrade Fee for Full Registration: Buyer pays an additional, non-refundable $________ to upgrade to AKC Full Registration after passing required health tests.
2. Prerequisite Health Testing (at Buyer’s expense): Minimum results:
• Hips: ☐ OFA Good/Excellent or ☐ PennHIP within breed-appropriate DI

• Eyes: ☐ CAER current within 12 months

3. Age & Proof Prior to Breeding: No breeding before 24 months of age and receipt by Breeder of all passing results above.
4. Stud/Mating Approvals: Pairings require Breeder’s written approval not to be unreasonably withheld.
5. Prefix & Co-Ownership (if applicable): ☐ Co-ownership until first approved litter ☐ Use of kennel prefix “Crate Legacy” as permitted.
6. Recordkeeping: Buyer will register all litters/puppies with accurate sire/dam info and provide litter records to Breeder within 30 days of whelp.
7. Breach of Addendum: Unauthorized or unapproved breeding triggers §1(c) liquidated damages plus immediate reversion to Limited Registration and potential repossession/injunctive relief.
8. Term/Termination: Breeding rights may be revoked for cause (e.g., falsified health results, neglect).
9. All Other Terms: The main Agreement remains in full force.
